WebOpine Terms and Conditions

Welcome to WebOpine. These Terms and Conditions (“Terms”) govern your access to and use of the WebOpine website, applications, and services (collectively, the “Platform”). By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy.
Please read these Terms carefully. If you do not agree to these Terms, you may not use our Platform.
1. Definitions
“WebOpine”, “we”, “our”, or “us” refers to WebOpine, a company registered at India.
“Platform” refers to all of WebOpine’s websites, applications, and other services.
“User”, “you”, or “your” refers to any individual who accesses or uses our Platform, including those who read, write, or browse content. This includes both individual consumers and Business Users.
“Business User” refers to a representative of a company that has created or claimed a business profile on the Platform.
“Content” refers to any and all text, images, photos, videos, audio, location data, and all other forms of data or communication you submit or transmit to, through, or in connection with the Platform. This includes reviews, ratings, replies, and profile information.
2. Using the Platform
To use our Platform, you agree that:
You are at least 18 years of age.
You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.
You will provide accurate and truthful information when creating an account and writing reviews.
3. User Accounts
Account Creation: You may need to create an account to use some features of our Platform, such as writing a review. You can create an account directly or via a third-party service like a social network.
Account Responsibility: You are responsible for all activities that occur under your account. You agree to keep your password confidential and secure. You must notify us immediately of any unauthorized use of your account by contacting us at contact@webopine.com.
Account Termination: You may terminate your account at any time by following the instructions in your user profile settings. We reserve the right to suspend or terminate your account at our sole discretion, without notice, if you violate these Terms.
4. Content Guidelines and User Conduct
WebOpine is an open platform built on trust. You are responsible for the Content you post. By using our Platform, you agree not to post Content that:
Is false, fraudulent, or not based on a genuine experience with the business being reviewed.
Is illegal, defamatory, harassing, abusive, threatening, hateful, or obscene.
Violates the privacy of others, including posting personal or confidential information (e.g., full names of non-public-facing employees, phone numbers, email addresses).
Constitutes spam, junk mail, chain letters, or any form of commercial advertising or solicitation within a review.
Contains malicious code, viruses, or any other technology designed to disrupt, damage, or limit the functionality of the Platform or the computers of others.
Infringes on any third party’s rights, including copyright, trademark, patent, trade secret, or other intellectual property or proprietary rights.
Is written in exchange for payment or other incentives from a business, or is posted by a business owner, employee, or direct competitor to manipulate ratings.
We reserve the right, but have no obligation, to monitor, screen, and remove any Content that we believe violates these Terms or is otherwise inappropriate.
5. Guidelines for Business Users
If you are a Business User, you also agree to:
Only claim and manage the business profile for a company you are authorized to represent.
Not offer incentives to users in exchange for positive reviews.
Invite your customers to leave reviews in a neutral and unbiased manner. You must not selectively invite only satisfied customers.
Respond to reviews professionally and constructively. Your replies must also adhere to the Content Guidelines in Section 4.
Not use the reporting tool to vexatiously target negative but genuine reviews.
Businesses may have access to additional paid services, which will be governed by our Terms of Use and Sale for Businesses.
6. Intellectual Property Rights
Your Content: You retain ownership of the Content you post. However, by submitting Content to the Platform, you grant WebOpine a worldwide, perpetual, non-exclusive, royalty-free, transferable, and sublicensable license to use, copy, modify, distribute, publish, translate, create derivative works from, display, and perform your Content in connection with operating and promoting the Platform. This allows us to display your reviews to the public and share them.
Our Content: All rights, title, and interest in and to the Platform (excluding User Content) are and will remain the exclusive property of WebOpine and its licensors. This includes our name, logo, design, and all other brand features. You may not use them without our prior written permission.
7. Our Role and Responsibility
WebOpine provides a platform for users to share their experiences. We are a neutral intermediary and do not endorse any Content posted by users. We are not responsible for the accuracy, quality, or integrity of any User Content. Any reliance on User Content is at your own risk. We may use automated software and human moderation to identify and remove Content that violates our guidelines, but we cannot guarantee that all violative Content will be removed.
8. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WEBOPINE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PLATFORM AND YOUR USE THEREOF, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE PLATFORM'S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THE PLATFORM.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEBOPINE, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR PLATFORM, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR PLATFORM, OR (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR PLATFORM BY ANY THIRD PARTY.
10. Indemnification
You agree to defend, indemnify, and hold harmless WebOpine and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Platform; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. We will post the revised Terms on this page and update the “Last Updated” date. If the changes are material, we will provide you with more prominent notice, such as by email or a notice on our Platform. Your continued use of the Platform after any such change constitutes your acceptance of the new Terms.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Uttar Pradesh, India, without regard to its conflict of law provisions.
You agree to submit to the personal and exclusive jurisdiction of the courts located in Uttar Pradesh, India to resolve any dispute or claim arising from these Terms.
